# Board Management
A board meeting is not a status update; it is the highest-leverage governance
and strategy session you get. Run it badly and it becomes theater. This skill
turns boards into a useful instrument.
## The Golden Rule: No Surprises
Every material decision and every piece of bad news should reach board members
before the meeting, one-on-one. The meeting ratifies and debates; it never
ambushes. A surprised board member is a defensive board member.
## Board Materials
Send the deck 3-5 days ahead. Structure:
1. **CEO summary** (1 page): the three things that matter, the one thing you
need help with, candid lowlights included.
2. **Metrics dashboard**: the same KPIs every meeting so trends are visible —
